1.1 Purpose of the Terms

These Terms of Service (hereinafter referred to as “these Terms”) aim to regulate the rights and obligations between the platform and users arising from their use of the platform’s services. These Terms provide users with a legal, transparent, and predictable usage environment by clearly defining the boundaries of platform service use, the allocation of responsibilities, and operational principles.

The platform is committed to providing users with stable technical services through a systematic and engineered technical architecture. The purpose of these Terms is not to restrict users’ legal rights, but to ensure the platform services can operate continuously within a reasonable, controllable, and compliant framework, and to reduce disputes that may arise from misunderstandings, information asymmetry, or improper use.

1.2 Applicable Subjects

These Terms apply to all natural persons, legal persons, or other organizations (collectively, “Users”) who access, browse, register, use, or otherwise connect to the platform services.

Regardless of whether a user creates an account, continuously uses the service, or accesses the platform through any device or technology, they are deemed to be subject to these Terms.

The platform will not interpret these terms differently based on the frequency, method, duration, or scope of user usage. These terms are equally effective for all users.

1.3 Effectiveness of Terms By accessing or using any service provided by the platform, a user is deemed to have fully read, understood, and agreed to be bound by all of these terms. If a user does not agree to any content of these terms, they should immediately cease using the platform’s related services.

If these terms exist in different language versions, unless otherwise expressly stated, all language versions are equally effective; in case of any discrepancy in interpretation or understanding, the English version shall be the final interpretation.

2.1 Key Terms Definitions For ease of understanding and application, the following terms have the following meanings:

 “Platform”: refers to the entire collection of systems, websites, and related technical architectures operated and provided with related technical services by Giant Whale Quantitative.

 “Services”: refers to the platform’s provision to users, including but not limited to data processing, system display, technical analysis, and related auxiliary functions.

* **“User”:** Refers to any individual or organization that accesses, browses, or uses the platform’s services.

* **“System”:** Refers to the technical architecture, software programs, algorithm modules, and combinations thereof used by the platform to implement its service functions.

* **“Data”:** Refers to all types of information involved in the platform’s service processes, including but not limited to market data, system data, and data provided by third parties.

* **“Model”:** Refers to the analytical, computational, or structured processing logic used by the platform within its system.

* **“Digital Asset”:** Refers to asset types that exist in a digital environment and possess a certain form of value representation.

* **“Third-Party Service”:** Refers to services or data provided by entities other than the platform entity, but which may be displayed, invoked, or referenced through the platform’s interfaces or systems.

2.2 Interpretation Principles The technical terms used in these clauses should be interpreted in conjunction with their engineering implementation, system operating logic, and generally accepted industry understanding, and should not be interpreted in an expanded or ambiguous manner outside their technical context.

Clause concerning the allocation of law or liability should adhere to the principles of neutrality, reasonableness, and non-expansion in interpretation. In the absence of an explicit agreement, the platform shall not be presumed to bear any responsibility or obligation beyond the scope expressly stated in these Terms.

3.1 Description of Service Nature
The services provided by the platform fall under the category of technical system and tool support. Their core purpose is to systematically display, process, and analyze information to assist users in understanding relevant data or structured results.

No content provided by the platform constitutes investment advice, a return guarantee, asset management, asset custody, or any form of financial guarantee. Users shall be solely responsible for any decisions made while using the platform’s services and shall bear the corresponding consequences.

3.2 Service Components
The platform services may include, but are not limited to, the following components:

 Data processing and analysis system, used for structuring data from different sources;

 Automated execution and risk management modules, used for system operation and internal logic control;

 Information display and system interaction functions, used to present the system’s operating status or analysis results to users.

The platform reserves the right to integrate, adjust, or optimize the above components according to technological developments or service needs.

3.3 Right to Dynamically Adjust Services

To continuously improve system stability, security, and compliance, the platform has the right to adjust, update, or upgrade service content, functional modules, or technical architecture without prior notice.

The platform does not guarantee that any service content will remain permanently unchanged, nor does it assume additional responsibility for functional changes caused by system optimization, compliance requirements, or technical adjustments.

4.1 Eligibility for Use
Users must have full civil capacity before using the platform services and have the right to independently bear corresponding legal responsibilities within the legal framework of their location.

If the user is an institution or other organization, they should ensure that their representative or authorized personnel have legal authorization and can represent the institution in fulfilling the relevant obligations under these terms.

Users should confirm that their use of the platform services complies with applicable laws, regulations, regulatory requirements, and industry standards in their location. The platform is not liable for any consequences arising from users’ violation of local laws and regulations.

4.2 Restrictions on Use
Users shall not use the platform for any illegal, irregular, or improper purposes, including but not limited to acts that violate applicable laws, regulations, regulatory provisions, or public order.

Users shall not circumvent, interfere with, or disrupt the platform’s system restrictions, security mechanisms, or access control measures in any way, nor shall they reverse engineer, decompile, disassemble, or attempt to obtain undisclosed technical information regarding the platform’s system architecture, algorithm logic, or software programs.

4.3 User Responsibility
Users should independently assess whether the platform services meet their needs, objectives, or risk tolerance based on their own circumstances.

The services provided by the platform do not constitute any form of guarantee or commitment, and users should not rely on the platform services as their sole basis for decision-making.

Users shall bear all results, consequences, or impacts arising from their use of the platform services. The platform is not liable for any losses arising from user misjudgment, improper operation, or misuse of the services.

5.1 Account Usage Principles
If the platform services involve accounts or access credentials, the relevant accounts may only be used by the authorized user or their legally authorized representative.

Users shall not transfer, rent, lend, share, or provide their accounts or access permissions to any unauthorized third party in any form.

Any risks or losses arising from a user’s failure to properly safeguard account information, access credentials, or authorized permissions shall be borne by the user.

5.2 Access Control
Based on system security and operational needs, the platform employs a tiered access and access control mechanism. Different users may have different access scopes, functional permissions, and usage depths within the platform.

Some services, functions, or modules may only be available to specific users or under specific conditions. The platform reserves the right to adjust the access control structure based on system operating status, compliance requirements, or technical arrangements.

5.3 Suspension and Restriction
Under reasonable circumstances, the platform has the right to restrict, suspend, or terminate a user’s access permissions or service usage, including but not limited to the following:

 Needs related to system security, stability, or abnormal behavior

 Compliance review, risk assessment, or regulatory requirements

 Other reasonable circumstances where the platform deems it necessary to take protective measures

When taking the above measures, the platform will minimize the impact on the normal user experience, but will not assume additional liability for such measures.

6.1 Data Source Description
The data used in the platform services may originate from multiple markets, various frequency levels, and third-party data providers.

The platform cannot guarantee that all data is real-time, complete, or error-free at any given time. Users should understand and accept potential delays or deviations during data transmission, processing, or display.

6.2 Data Processing Principles
The platform processes data according to structured, engineered, and systematic principles, aiming to support system operation, model optimization, risk control, and overall service stability.

The purpose of data processing is not to make commitments about results, but to improve the readability, manageability, and technical consistency of information through a systematic approach.

6.3 System Stability Statement
The platform will continuously maintain the stability and security of the system based on reasonable technical capabilities and operational resources.

However, the platform does not guarantee that the service will be free from interruptions, delays, errors, or technical anomalies at any time.

Users understand and agree that service interruptions or performance fluctuations caused by system maintenance, upgrades, force majeure, or third-party factors are within the reasonable risk range of technical system operation.

7.1 Market Risk Statement
Users understand and acknowledge that the digital asset market is highly volatile, uncertain, and structurally complex. Its prices, liquidity, and market behavior may change significantly in a short period.

Any results based on historical data, past performance, or model analysis should not be considered a guarantee or prediction of future performance.

The platform makes no commitment regarding any results caused by market changes, nor does it guarantee that users will obtain specific results or avoid losses under any circumstances.

7.2 Technical Risks
Users understand and accept that the platform’s services rely on complex technical systems. Related risks include, but are not limited to:

 System delays, data transmission delays or interruptions

 Model bias, parameter instability, or environmental changes leading to differences in results

 The impact of network, hardware, third-party services, or uncontrollable external factors

The above technical risks may affect the continuity, accuracy, or availability of services under certain circumstances. The platform will take measures to mitigate risks to a reasonable extent, but does not guarantee complete avoidance.

7.3 User Self-Assumption Principle
Users shall independently assess and bear all risks and consequences arising from the use of the platform services, including but not limited to the impact of misjudgment, operational errors, or insufficient understanding of the services.

To the maximum extent permitted by law, the platform shall not be liable for any direct or indirect losses incurred by users due to their use or inability to use the platform services.

8.1 Platform Rights
The system architecture, model logic, algorithm design, interface display, text content, and related technological achievements involved in the platform are all owned by the platform or its legal rights holders and are protected by applicable laws.

Except as expressly authorized in these Terms, users shall not acquire any form of intellectual property rights or interests by using the platform services.

8.2 Licensing
Subject to the user’s compliance with these Terms, the platform grants the user a limited, non-exclusive, and non-transferable license to use the platform services solely within the permitted scope.

This license does not include the right to redevelop, sublicense, or commercially exploit any technology, system, or content of the platform.

8.3 Prohibited Activities
Without the platform’s prior written permission, users shall not engage in the following activities:
* Copying, modifying, disseminating, displaying, or creating derivative works of platform content
* Using the platform’s system, model, or interface for any commercial or redistribution purpose
* Damaging or infringing upon the platform’s intellectual property rights or legitimate interests in any form

9.1 Service Adjustment
The platform may adjust, update, or reorganize service content, functional modules, or delivery methods based on operational arrangements, technical upgrades, system optimization, or compliance requirements.

The above adjustments may be made without prior notice, and the platform does not guarantee that service content will remain permanently unchanged.

9.2 Service Termination
Users may discontinue using the platform services at any time.

Under reasonable circumstances, the platform also has the right to suspend or terminate the provision of all or part of the services to users, including but not limited to situations involving system security, compliance requirements, or risk control.

9.3 Impact Explanation
The suspension or termination of services will not affect any rights and obligations incurred prior to this, nor will it affect the continued validity of the clauses in this agreement regarding risk assumption, limitation of liability, and intellectual property rights.

10.1 Principles of Applicable Law
The interpretation, validity, and enforcement of these Terms shall adhere to the principles of neutral, reasonable, and internationally accepted legal interpretation, without relying on the special rules of a single jurisdiction.

10.2 Dispute Resolution Mechanism
Any dispute arising from these Terms or the platform services shall first be resolved through friendly negotiation between the parties.

If negotiation fails, the parties agree to resolve the relevant dispute through a legal and compliant dispute resolution mechanism in accordance with prior agreement or applicable rules.

10.3 Independence of Terms
If any provision of these Terms is held to be invalid, unenforceable, or partially invalid, such provision shall not affect the validity of the remaining provisions of these Terms, which shall continue to apply.

10.4 Final Interpretation Right
To the extent permitted by law, the platform reserves the right of final interpretation of these Terms. Any matters not covered in these Terms shall be interpreted in accordance with the overall purpose, structure, and reasonableness of these Terms.
